Terms of Service

PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.

1. Introduction & Acceptance

These Terms govern your access to and use of the AI services, websites, and applications (collectively, the "Service") provided by Avocado Inc. ("Align-AI," "we," "us," or "our"). These Terms constitute a binding legal agreement between you and Align-AI.

2. Eligibility & User Accounts

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are of legal age.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Fees, Subscriptions, and Payment

  • Subscriptions: We may offer the Service on a subscription basis. You will be billed in advance on a recurring, periodic basis (a "Billing Cycle").
  • Auto-Renewal: Your subscription will automatically renew at the end of each Billing Cycle unless you cancel it.
  • Payment: You must provide accurate and complete billing information. By submitting payment information, you authorize us to charge all subscription fees to your payment instrument.
  • Fee Changes: We reserve the right to modify subscription fees at any time. We will provide you with reasonable prior notice of any fee changes.
  • Refunds: Except when required by law, paid subscription fees are non-refundable.

4. Intellectual Property Rights

4.1. Our Service

We own all right, title, and interest in and to the Service, including all software, text, graphics, and the underlying AI models, algorithms, and technology. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service strictly in accordance with these Terms.

4.2. Your Content (Inputs & Outputs)

  • "Input" means any data, prompts, text, or other content you provide to the Service.
  • "Output" means the content generated and returned to you by the Service based on your Input.

As between you and Align-AI, and to the extent permitted by law, you own all right, title, and interest in your Input. Subject to your compliance with these Terms, Align-AI assigns to you all its right, title, and interest in and to the Output.

You are solely responsible for your Input and Output, including ensuring that they do not violate any applicable law or these Terms.

4.3. Our License to Your Content

You grant Align-AI a non-exclusive, worldwide, royalty-free license to use, copy, modify, and process your Input and Output (collectively, "Your Content") solely for the following purposes:

  • (a) To provide, maintain, and secure the Service for you;
  • (b) To comply with applicable law and enforce our policies.

We will not use Your Content to train, develop, or improve our AI models or any other AI service without your separate, explicit, opt-in consent. Our business model is to provide a service, not to train on our users' confidential data.

5. Acceptable Use Policy (AUP)

You agree not to use the Service to:

  • (a) Violate any law, regulation, or third-party right.
  • (b) Generate, upload, or promote content that is hateful, harassing, violent, defamatory, obscene, or discriminatory.
  • (c) Create or disseminate misinformation, spam, or content for fraudulent or deceptive purposes.
  • (d) Infringe on any third party's intellectual property rights, including copyright and trademark.
  • (e) Attempt to reverse-engineer, decompile, disassemble, or discover the source code, underlying components, or algorithms of our models or Service.
  • (f) Use any automated means (like bots or scrapers) to access the Service, other than through our official API.
  • (g) Develop any AI models or services that compete with Align-AI.
  • (h) Use the Service for any high-stakes purpose where failure or error could lead to death, personal injury, or severe property or environmental damage (e.g., medical diagnosis, legal advice, financial planning, or control of autonomous vehicles).

6. DISCLAIMER OF WARRANTIES (AI-SPECIFIC)

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. ALIGN-AI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOU ACKNOWLEDGE AND AGREE THAT:

  • (a) GENERATIVE AI SERVICES ARE A NEW TECHNOLOGY AND MAY PRODUCE INACCURATE, INCOMPLETE, OR OFFENSIVE OUTPUTS ("HALLUCINATIONS").
  • (b) THE OUTPUT DOES NOT REPRESENT THE VIEWS OF ALIGN-AI.
  • (c) YOU ARE SOLELY RESPONSIBLE FOR EVALUATING, VERIFYING, AND USING THE OUTPUT. ANY RELIANCE ON THE OUTPUT IS AT YOUR OWN RISK.
  • (d) THE OUTPUT IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. DO NOT RELY ON OUTPUT FOR MEDICAL, LEGAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, ALIGN-AI, ITS AFFILIATES, AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST DATA, OR GOODWILL) ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THE SERVICE SHALL BE LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

8. Termination

You may stop using the Service and terminate your account at any time.

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or for any other reason in our sole discretion.

9. Modifications to Terms

We may update these Terms from time to time. If we make a material change, we will provide you with notice (e.g., by email or an in-app notification). Your continued use of the Service after the changes become effective constitutes your acceptance of the new Terms.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of California without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the state or federal courts located in SF, California.
